These Terms of Service ("Terms") govern your access to and use of the CareSwift website at careswift.com, including all related pages, content, and forms (the "Site"), operated by CareSwift, Inc. ("CareSwift," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

Your use of the CareSwift product, plugin, or platform — as distinct from this informational Site — is governed by the separate written agreement (including any Master Services Agreement and Business Associate Agreement) executed between CareSwift and your organization. Where those agreements conflict with these Terms, those agreements control with respect to the product.

1. Acceptance of Terms

By accessing the Site, requesting a demo, or otherwise interacting with us through the Site, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

2. Description of the Site

The Site provides general information about CareSwift's products and services for emergency medical services (EMS) documentation and revenue operations, along with the ability to request a demo or contact our team. The Site is informational and is not itself the CareSwift product.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. By using the Site, you represent that you meet these requirements and that any information you provide is accurate.

4. Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms;
• Attempt to gain unauthorized access to the Site, its servers, or related systems;
• Interfere with or disrupt the integrity or performance of the Site;
• Introduce malicious code, or probe, scan, or test the vulnerability of the Site or any related network;
• Scrape, harvest, or collect information about other users, or use the Site to send unsolicited communications;
• Submit any protected health information (PHI) or other sensitive personal data through public Site forms.

5. Intellectual Property

The Site and its contents — including text, graphics, logos, the CareSwift name and marks, and the design and arrangement of the Site — are owned by CareSwift or its licensors and are protected by intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from the Site without our prior written permission, except for incidental, personal, non-commercial use of publicly available materials.

6. Third-Party Links and Services

The Site may contain links to third-party websites or services (for example, our scheduling, careers, status, or compliance providers) that we do not control. We are not responsible for the content, policies, or practices of any third-party site. Accessing third-party sites is at your own risk and subject to their terms.

7. No Medical, Legal, or Professional Advice; Disclaimers

Information on the Site is provided for general informational purposes only and does not constitute medical, billing, legal, or other professional advice. The Site is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.

8. Limitation of Liability

To the fullest extent permitted by law, CareSwift and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Site, even if advised of the possibility of such damages. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars (US $100).

9. Indemnification

You agree to indemnify and hold harmless CareSwift and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Site or violation of these Terms.

10. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect and handle information. Please do not submit PHI through the Site.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective date" above. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
